Clinical One is pleased to offer our Employee Stock Purchase Program. As a Clinical One employee and part of a publicly traded company, you have the option to purchase shares of Vedior NV at a minimum of a 15% discount. Vedior NV is Clinical One's parent corporation and is traded on the Amsterdam (Netherlands) and London stock exchanges under the symbol VDOR. Here are some common questions that you might have:

What is an ESPP?
An ESPP is a type of broad-based stock plan that permits eligible employees to use after-tax payroll deductions to purchase their company's stock, at a discount of 15%.

Am I eligible?
Employees of Vedior North America (Vedior NA) and it's US operating divisions who have worked a minimum of 3 months, are eligible to participate in the next offering period.

How does it work?
Employees elect to have a fixed amount of their gross pay withheld from their paycheck each pay period on an after-tax basis. This dollar amount cannot be less than 1% and cannot be more than 15% of the employees covered compensation. No employee is permitted to purchase securities under the ESPP and any similar Company plans which exceed $25,000 of the fair market value of Vedior stock in any calendar year. At the end of each offering period, Vedior NA will use those funds to purchase shares of Vedior NV for a price equal to 85% of the lower of the stock's fair market value on the first day of the offering period or on the last day of the offering period.

What is an offering period?
An offering period is the period of time during which payroll deductions are accumulated. Shares are purchased under the plan at the end of the offering period. The purchase price is based on the fair market value on the first day of the offering period or the last day of the offering period, whichever is lower. There will be two offering periods each year at which time eligible employees may join the plan. The periods commence March 1 and August 1, and offering periods are for 6 months.

How do I enroll in the Vedior NV ESPP?
Enrollment in the Plan is accomplished by completing and submitting a signed ESPP Enrollment/Change form authorizing weekly payroll deductions.
